Tupperware takes action to improve capital structure and liquidity position
  • Co announced it has engaged financial advisors to help improve its capital structure and remediate its doubts regarding its ability to continue as a going concern.
  • The Company's Board of Directors is actively engaged with management to improve the Company's capital structure and near-term liquidity. The Company has engaged financial advisors to assist in securing supplemental financing, and is engaging in discussions with potential investors or financing partners. In addition, the Company is reviewing its real estate portfolio for property available for potential dispositions or sale-leaseback transactions, and is exploring right-sizing efforts, monetization of fixed assets, cash management, and marketing and channel optimization, to preserve or deliver additional liquidity.
  • The Company has determined that a violation of its Credit Facility covenants is probable to occur as a result of the Company's delay in filing its Annual Report on Form 10-K for the year ended December 31, 2022 as well as cash constraints caused by higher interest costs and timing of re-engineering actions. Further, due to the challenging internal and external business economics, coupled with the increased levels and cost of borrowings under its Credit Facility, the Company currently forecasts that, if it is unable to obtain adequate capital resources or amendments to its Credit Agreement, it may not have adequate liquidity in the near term. As a result, the Company has concluded there is substantial doubt about its ability to continue as a going concern. This going concern status requires the Company to write-down certain non-cash deferred tax assets and goodwill and other intangible assets. Therefore, the financial results reflected in its Form 10-K, when filed, will differ significantly in these areas from the preliminary results it announced on March 1, 2023.

Tupperware Brands Corporation today announced Friday that its Board of Directors has decided to suspend the company's quarterly common dividend. The Capital Allocation Committee of the Board and management are working together to improve financial flexibility and drive profitability in the short term.

Tupperware (TUP) reported earnings on Wed 30 Oct 19 (b/o)

Tupperware Brands, the maker of kitchen storage, household items and beauty products posted third-quarter earnings that fell short of estimates.

Orlando, Fla.-based Tupperware said it had net income of $7.8 million, or 16 cents a share, in the quarter, down from $39.1 million, or 79 cents a share, in the year-earlier period. The number includes an impairment charge that shaved 40 cents off the EPS number. Adjusted per-share earnings came to 43 cents, below the 62 cents FactSet consensus. Sales fell 14% to $418.1 million, also missing the $427 million FactSet consensus. "Sales for the third quarter ended in line with our forecasted guidance as the challenging trends we've been experiencing in Brazil, China, and US & Canada persisted as we expected." Chief Executive Tricia Stitzel said in a statement. "Profitability was adversely affected by accounting reserves related to our Fuller Mexico beauty business and adjustments to our tax provision." The company is now expecting full-year sales to fall 14% to 12% and expects adjusted EPS of $2.77 to $2.83, well below the current FactSet consensus of $3.47. Shares have fallen 51% in 2019, while the S&P 500 SPX, +0.23% has gained 21%.

Tupperware reports EPS in-line, misses on revs; guides Q1 EPS in-line; guides FY19 EPS below consensus, cuts dividend to redeploy capital towards growth
  • Reports Q4 (Dec) earnings of $1.33 per share, in-line with the S&P Capital IQ Consensus of $1.33; revenues fell 14.1% year/year to $505.9 mln vs the $550.53 mln S&P Capital IQ Consensus.
  • Tupperware United States and Canada sales were down 8% driven largely by lower recruiting and average active sellers.
  • Emerging markets in Asia Pacific were down 16% (11% local currency), primarily in India, down 45% (39% local currency) and Indonesia, down 41% (35% local currency). Both of these units continued to struggle with sales force size.
  • Co issues in-line guidance for Q1, sees EPS of $0.90-$0.95 vs. $0.95 S&P Capital IQ Consensus. Sees USD sales growth down 8-10% y/y.
  • Co issues downside guidance for FY19, sees EPS of $4.06-$4.21 vs. $4.48 S&P Capital IQ Consensus. Sees local currency sales growth down 2% to flat.
  • Cuts Dividend: TUP declares dividend of 27 cents per share but plans to redeploy $80 million in annual dividend payments toward growth and transformation initiatives and potential share repurchases.
  • Growth Revitalization Plan: The company expects to invest approximately $100 million through 2022, 90% of which will be in cash. The areas of strategic focus are driving innovation across products, sales force and consumer experiences, extending access to make it easier for sales force and consumers to connect, deploying technology to drive sales force engagement and consumer connections, contemporizing the service model to allow the sales force to focus on driving revenue; and simplifying and streamlining structures to create a more aligned and integrated organization. Once fully implemented, the transformation initiatives are expected to enable annual local currency sales growth of a mid-single digit percentage and to generate about $50 million in annualized savings.
    The company expects to complete the revitalization plan announced in July 2017 during 2019.

  • Reports Q3 (Sep) earnings of $0.91 per share, including 5-cent benefit from lower than forecast tax rate, $0.09 better than the S&P Capital IQ Consensus of $0.82; revenues fell 10.0% year/year to $485.8 mln vs the $477.65 mln two analyst estimate.

Tupperware Brands (TUP) reported earnings on Wed 25 July 18 (b/o)

(Reuters) - Storage container maker Tupperware Brands Corp reported lower-than-expected quarterly sales on Wednesday and cut its annual sales target on weak demand for its products in established markets such as North America and Europe.
Shares of the company fell nearly 10 percent to $36.84 in light premarket trading.
Tupperware said it expects sales to fall between 6 percent and 7 percent in the full year ending Dec. 29, lower than the company's earlier forecast range of fall of 1 percent to a rise of 1 percent.
The company's second-quarter sales of $535.4 million missed Wall Street estimates of $553.5 million, according to Thomson Reuters I/B/E/S.
Orlando, Florida-based Tupperware reported a net income of $63.8 million or $1.26 per share for the quarter ended June 30 compared with a loss of $17.7 million, or 35 cents per share.
Excluding items, the company earned $1.17 per share, beating market expectations of $1.10 per share.
"Although adjusted earnings per share was above guidance and the local currency sales comparison improved sequentially, we do acknowledge that we must perform better across the global portfolio," Chief Executive Tricia Stitzel said in a statement.
The company named Stein Fenne as group president for Europe, Africa and the Middle East, and Asha Gupta as the chief strategy and marketing officer for Asia Pacific.

Tupperware Brands (TUP) reported a second-quarter net loss of $17.7 million, or 34 cents a share, after a profit of $52.4 million, or $1.03 a year ago. Excluding non-recurring items, such as restructuring charges, adjusted earnings per share came to $1.21, beating the FactSet consensus of $1.20. Revenue rose to $572.9 million from $564.7 million, but missed the FactSet consensus of $578.6 million, as growth in Tupperware North America and Brazil offset declines in Europe, Asia Pacific and Beauty North America.

Separately, the food storage container maker that it was "unsuccessful" in finding a buyer for its Beauticontrol business, so it decided it wind down the business over the next 60 to 90 days.

Looking ahead, the company expects third-quarter adjusted EPS of 91 cents to 96 cents, compared with the FactSet consensus of 98 cents, while the 2017 outlook of $4.66 to $4.76 surrounds the FactSet consensus of $4.70. The stock has soared 32.3% year to date, while the S&P 500 (SPX) has gained 10.6%.

ORLANDO, Fla. (AP) _ Tupperware Brands Corp. (TUP) on Tuesday reported first-quarter net income of $47.4 million.
The Orlando, Florida-based company said it had net income of 93 cents per share. Earnings, adjusted for non-recurring costs, came to $1.01 per share.
The results beat Wall Street expectations. The average estimate of five analysts surveyed by Zacks Investment Research was for earnings of 94 cents per share.
The direct seller of plastic storage containers and cosmetics posted revenue of $554.8 million in the period, which also topped Street forecasts. Three analysts surveyed by Zacks expected $532.8 million.
For the current quarter ending in July, Tupperware expects its per-share earnings to range from $1.17 to $1.22. Analysts surveyed by Zacks had forecast adjusted earnings per share of $1.21.
The company expects full-year earnings in the range of $4.67 to $4.77 per share.
Tupperware shares have climbed 25 percent since the beginning of the year. The stock has risen 13 percent in the last 12 months.
