Stocks seeing volatility buying (bullish call buying/bearish put buying):

Calls:

  • FUBO Sept 3.50 calls are seeing interest with 220 contracts trading vs. open int of 1380, pushing implied vol up around 27 points to ~126.89%
  • TLRY Sept 5 calls are seeing interest with 430 contracts trading vs. open int of 1510, pushing implied vol up around 77 points to ~234.27%. The Co is slated to reports its next earnings in October.

=Aphria (APHA) and Tilray (TLRY) to merge, create largest global cannabis company



The merger comes as Canada's pot industry grapples with losses and debt, and as it tries to chart a course forward in the U.S.' widening legal territory. 

Under the deal, the new company will have offices in the U.S., Canada, Portugal and Germany, with estimated market share of around 17% in Canada and $685 million in yearly revenue. The merged company will take the Tilray name and trade on the Nasdaq under the TLRY stock ticker.

Aphria (APHA) CEO Irwin Simon will become CEO and chairman of the new company once the deal closes. The deal is expected to close in the second quarter of next year.

Tilray's (TLRY) current CEO, Brendan Kennedy, will hold a seat on the company's nine-member board. However, seven of the seats will be held by current Aphria directors, including Simon.

The combined value of about $3.9 billion for the merged company would still be smaller than that of Canopy Growth (CGC), which is worth $9.9 billion.

Aurora Cannabis (ACB) laid off 200 employees and slashed production at one of its big production facilities. Aphria and Aurora were rumored to be in merger talks earlier in the year.

MORE Act, Runoffs

This month, the U.S. House of Representatives voted to pass the MORE Act, which would remove marijuana from the list of controlled substances. The bill would decriminalize cannabis at the federal level and let states make their own laws.

The bill, however, faces little chance in the Senate. And some lawyers and pot companies have said decriminalization wouldn't necessarily help the legal marijuana business.

New Jersey, Arizona, Montana and South Dakota on Election Day approved ballot measures to legalize recreational marijuana. South Dakotans and Mississippi voters also backed some degree of medical use. Two runoff elections next month in Georgia will determine the balance of the Senate, and how much advantage the Democrats will have in passing cannabis reform.

Tilray misses by $0.05, beats on revs 
Reports Q2 (Jun) loss of $0.32 per share, excluding non-recurring items, $0.05 worse than the S&P Capital IQ Consensus of ($0.27); revenues rose 373.2% year/year to $45.9 mln vs the $40.25 mln S&P Capital IQ Consensus.

  • Total kilogram equivalents sold more than tripled to 5,588 kilograms from 1,514 kilograms in the prior year period.
  • Average net selling price per gram decreased to $4.61 (C$6.12) compared to $6.38 (C$8.36) in the prior year period. The average net selling price excluding excise taxes was $3.92 (C$5.20) per gram for the second quarter of 2019. The decrease was due to a reduced mix of higher priced extract products and a greater mix of adult-use revenue, which are at lower prices per gram compared to other channels.
  • Gross margin increased sequentially to 27% from 23% in the prior quarter. Gross margin in the second quarter of 2018 was 43%. Gross margin continues to be impacted by increased costs incurred with the ramping up of cultivation facilities in Canada and Portugal and acquiring third party supply. Food product margins were also impacted by a $1.4 million non-cash charge related to purchase accounting for the fair value of inventory. Excluding this purchase accounting charge, gross margin was 30% for the quarter.

Tilray reports Q2 (Jun) results 
  • Reports Q2 (Jun) GAAP loss of $0.17 per share ($2.4M), including $5.6M in stock compensatinn charges, may not be comparable to the single analyst estimate of ($0.09); revenues rose 94.0% year/year to $9.7 mln vs the $9.01 mln S&P Capital IQ Consensus, driven by increased patient demand in Canada, sales to other Licensed Producers and international sales. Total kilogram equivalents sold increased 745 kilograms to 1,514 kilograms, or 97%, compared to the prior year. Average net selling price per gram increased from $6.20 to $6.38 YoY. The increase was primarily due to growth in higher potency product and extract sales, partially offset by an increase in wholesale revenues.
