TiVo reports EPS in-line, revs in-line; guides FY19 revs in-line; Board approves plan to spin out Product business
  • Reports Q1 (Mar) GAAP loss of $0.21 per share, in-line with the two analyst estimate of ($0.21); revenues fell 16.6% year/year to $158.2 mln vs the $158.21 mln S&P Capital IQ Consensus.
  • Co issues in-line guidance for FY19, sees FY19 revs of $640-654 mln vs. $643.52 mln S&P Capital IQ Consensus. and a GAAP loss before taxes of $75 million to $87 million. Additionally, the Company expects Adjusted EBITDA of $172 million to $178 million and Non-GAAP Pre-tax Income of $120 million to $126 million. TiVo anticipates it will incur $28 million to $29 million in Cash Taxes based on its operating expectations.
  • Based upon an extensive review of strategic alternatives, TiVo's Board of Directors decided that separating its Product and IP Licensing businesses is believed to be the best strategy to maximize shareholder value. Accordingly, TiVo intends to spin out its Product business to shareholders. Throughout the separation process, the Board of Directors will continue to be open to strategic transactions for each business that could create additional stockholder value and is actively engaged in discussions with parties interested in each of the businesses.
    • TiVo's Product business - Consisting of our Platform Solutions and Software and Services businesses. TiVo offers a suite of component technologies that can be integrated into any of our customers' internally developed platforms or deployed as an integrated TiVo solution for video service providers or retail markets. As of December 31, 2018, there were an estimated 23 million households worldwide utilizing our Platform Solutions. For the full year 2018, our Product segment generated $401 million in revenue, with a large component of recurring revenue.
    • TiVo's IP Licensing business - Our expansive and highly valuable Rovi and TiVo patent portfolios encompass approximately 5,500 issued patents and pending applications worldwide. Hundreds of millions of consumers have access to our innovations through license agreements with leading video providers around the world. Our licensees include traditional and new media video providers across Pay-TV, OTT, Mobile, Consumer Electronics and Social Media markets. For the full year 2018, IP Licensing revenue was $295 million, with a high percentage of this recurring revenue.

TiVo beats by $0.04, misses on revs
  • Reports Q1 (Mar) earnings of $0.38 per share, excluding non-recurring items, $0.04 better thanthe Capital IQ Consensus of $0.34; revenues fell 7.8% year/year to $189.8 mln vs the $195.72 mln Capital IQ Consensus.
  • We are continuing to explore a broad range of strategic alternatives to maximize the value of the Company and best deliver value to our shareholders. Due to the broad range of potential outcomes, the Company is not providing financial estimates for fiscal 2018 at this time. We expect to provide an update on this exploration process no later than our Q2 2018 earnings call.
  • On May 9, 2018, TiVo's Board of Directors declared a cash dividend of $0.18 per common share, to be paid on June 20, 2018 to all stockholders of record as of the close of business on June 6, 2018.

TiVo reports Q4 (Dec) results, beats on revs; guides FY17 revs in-line; declares quarterly dividend, increases repurchase authorization :
  • Reports Q4 (Dec) earnings of $0.08 per share, may not be comparable to the Capital IQ Consensus of $0.54; revenues rose 68.7% year/year to $252.34 mln vs the $227.42 mln Capital IQ Consensus.
  • "The TiVo integration is proceeding as planned and we continue to expect revenues in excess of $800 million for 2017. We also continue to expect cost synergies of at least $100 million with 65% coming from actions taken within 12 months of the close."
  • Co issues in-line guidance for FY17, sees FY17 revs of $800-835 mln vs. $824.17 mln Capital IQ Consensus Estimate; sees Non-GAAP Pre-tax Income of $200 million to $225 million
  • TiVo's Board of Directors declared a quarterly cash dividend of $0.18 per common share, to be paid on March 15, 2017, to all stockholders of record as of the close of business on March 1, 2017. TiVo's Board believes it can reward its stockholders with a meaningful quarterly dividend, while maintaining ample capacity for the company to invest in the business, pursue its long term growth aspirations, and consider additional capital allocation alternatives such as opportunistic stock repurchases. On that front, the Board also increased the Company's stock repurchase program authorization to $150 million. Pursuant to its strategy of allocating excess capital to the highest risk-adjusted return alternative available, the Board will continue to regularly review all available capital allocation opportunities.

Rovi changes its name to TiVo as it closes acquisition Of DVR pioneer

TiVo just became a part of Rovi with the closing of a $1.1 billion cash and stock acquisition deal they made in May — but with the buyer now adopting the TiVo name.


Rovi shares will now be traded on Nasdaq with the TIVO ticker symbol.
