Office Depot misses by $0.02, misses on revs; affirms outlook
- Reports Q2 (Jun) earnings of $0.06 per share, excluding non-recurring items, $0.02 worse than the Capital IQ Consensus of $0.08; revenues fell 8.5% year/year to $2.36 bln vs the $2.44 bln Capital IQ Consensus.
- Retail Division
- Retail Division sales were $1.1 billion in the second quarter of 2017 compared to $1.2 billion in the prior year period. The decline in sales was due to the impact of planned store closures over the past twelve months and a 6% decline in comparable store sales in the quarter versus the prior year due primarily to lower store traffic and average order value of purchases.
- Business Solutions Division
- Business Solutions Division sales were $1.2 billion in the second quarter of 2017, a decline of 6% in constant currency compared to the second quarter of 2016. The sales decline was primarily driven by continued competitive pressures, prior period customer losses in the contract channel, the ongoing reduction in catalog sales through our call centers and the impact of sales from omnichannel programs that are recorded in the Retail Division.

- Outlook:
- Office Depot continues to expect total company sales in 2017 to be lower than 2016, primarily due to the impact of planned store closures, prior year contract customer losses, continued challenging market conditions and returning to a 52-week fiscal year. However, the company expects the rate of sales decline to improve in the second half of 2017 based on improvements in customer retention, implementation of new customer wins and growth from strategic business initiatives.
- The company continues to expect adjusted operating income of approximately $500 million in fiscal 2017. This includes funding a number of strategic initiatives and opportunities to grow the business throughout the year. The 2017 target is a comparable year-over-year increase of about 10%, excluding the $15 million estimated 53rd week operating income benefit realized in 2016.

=Staples (SPLS) to be acquired by Sycamore Partners?
- Private equity firm Sycamore Partners is on the brink of acquiring Staples (SPLS), the world's largest office supply company, in a deal that could top $6 billion, according to Reuters.
- In May, Cerberus Capital Management emerged as the front runner to secure the retailer.
Private equity firm Sycamore Partners is in advanced talks to acquire Staples Inc (SPLS) following an auction for the U.S. office supplies retailer, people familiar with the matter said on Wednesday, in a deal that could top $6 billion.
The acquisition would come a year after a U.S. federal judge thwarted a merger between Staples and peer Office Depot Inc (ODP) on antitrust grounds.
It would represent a bet by Sycamore that Staples could more quickly shift its business model from serving consumers to catering to companies if it were to go private.
Sycamore is in the process of finalizing a debt financing package for its bid for Staples after it prevailed over another private equity firm, Cerberus Capital Management, three sources said.
An agreement could be announced as early as next week, though negotiations between Sycamore and Staples are continuing and there is still a possibility that deal discussions could fall apart, the sources added.
Staples has 1,255 stores in the United States and 304 in Canada. It has the largest market share of office supply stores in the United States at 48 percent, and its share has increased since 2011, according to Euromonitor.
A number of private equity-backed retailers, from Sports Authority Inc to Payless ShoeSource Inc, have filed for bankruptcy in the last two years.
Sycamore, however, specializes in retail investments and has been more bullish on the sector. Its previous investments include regional department store operator Belk Inc, discount general merchandise retailer Dollar Express and mall and web-based specialty retailer Hot Topic.

- Reports Q4 (Dec) earnings of $0.11 per share, excluding non-recurring items, $0.01 better than the Capital IQ Consensus of $0.10; revenues fell 1.5% year/year to $2.73 bln vs the $2.7 bln Capital IQ Consensus.
- FY17 Guidance: Office Depot expects total company sales in 2017 to be lower than 2016 (FY16 $11.021 bln - FY17 Capital IQ consensus $10.395 bln), primarily due to the impact of store closures, prior year contract customer losses, one less selling week and continued challenging market conditions. However, the company expects the rate of sales decline to improve throughout 2017 based on improvements in customer retention, implementation of new customer wins and continued growth in the contract channel sales pipeline.
- The company continues to expect to achieve approximately $500 million in adjusted operating income in fiscal 2017, a comparable year-over-year increase of about 10%, excluding the $15 million estimated 53rd week operating income benefit in 2016. In 2017, capital expenditures are expected to be approximately $200 million including investments to support the company's critical priorities and the Store of the Future test format.

Staples (SPLS), Office Depot(ODP) scrap merger deal
A federal judge has blocked the planned tie-up of Staples (SPLS) and Office Depot (ODP) due to competition concerns, prompting the office-supply chains to abandon their roughly $6B deal. "We are disappointed by this outcome and strongly believe that a merger would have benefited all of our customers in the long term," said Office Depot CEO Roland Smith. Staples will now pay a $250M break-up fee to its smaller rival for terminating the transaction.
