Mobileye (MBLY) to be acquired by Intel (INTC) for $63.54/share

    
  • Mobileye (MBLY), the Israeli autonomous driving software company,  to be acquired by Intel (INTC) for $63.54/share in cash, or ~ $15.3 bln




SANTA CLARA, Calif. (AP) — Intel will buy Israel's Mobileye in a deal valued at just over $14 billion, the latest push by a major tech company to advance autonomous vehicles that could change the way traffic moves globally.
Mobileye develops technology that essentially gives computers a sense of their physical surroundings and it has also been busying creating ties to get that technology onto the road. Last year, it teamed up with Delphi Automotive to develop the building blocks for a fully autonomous car.
The companies put the equity value of the deal at approximately $15.3 billion.
The combined global autonomous driving company, which includes Mobileye and Intel's autonomous driving group, will be based in Israel and led by Mobileye Chairman and co-founder Amnon Shashua. The organization will support both companies' existing production programs and build on relationships with automotive original equipment manufacturers, Tier-1 suppliers and semiconductor partners to develop advanced driving assist, highly autonomous and fully autonomous driving programs.
Intel CEO Brian Krzanich said in a company release that by working together, the companies will be able to "accelerate the future of autonomous driving with improved performance in a cloud-to-car solution at a lower cost for automakers."

Mobileye N.V. beats by $0.01, beats on revs :
  • Reports Q3 (Sep) earnings of $0.19 per share, $0.01 better than the Capital IQ Consensus of $0.18; revenues rose 34.4% year/year to $94.9 mln vs the $89.48 mln Capital IQ Consensus. 
  • Within total revenue, original equipment manufacturing (:OEM) revenue was $72.6 million, compared to $60.8 million in the prior-year period. EyeQ chip volume increased to 1,553 thousand EyeQ units, compared to 1,351 thousand units in the prior-year period. The EyeQ Average Selling Price (:ASP) per unit for the third quarter of 2016 was $45.50, up from $43.50 during the same period last year and $44.50 in Q2. After market (AM) revenue contributed the remaining $22.3 million of total revenue for the third quarter of 2016 compared to $9.8 million in the prior-year period.
  • "Strategically, we continue to see rising interest for higher-level autonomous vehicle technology. Most new customer requirements for future programs now include a semi-autonomous feature-set in addition to Advanced Driver Assist System safety features. We have also seen an uptick in discussions relating to Fully Autonomous programs on the heels of our two recently-announced Level 4 programs with BMW and Delphi.   • Reports Q2 (Jun) earnings of $0.17 per share, excluding non-recurring items, $0.02 better than the Capital IQ Consensus of $0.15; revenues rose 58.1% year/year to $83.5 mln vs the $76.98 mln Capital IQ Consensus. Within total revenue, original equipment manufacturing (:OEM) revenue was $64.4 million, compared to $43.6 million in the prior-year period.
  • EyeQ chip volume increased 45.4% year-over-year to 1,409 thousand EyeQ units, compared to 969 thousand units in the prior-year period. The EyeQ Average Selling Price (:ASP) per unit for the second quarter of 2016 was $44.5, up from $43.7 during the same period last year. After market (AM) revenue contributed the remaining $19.1 million of total revenue for the second quarter of 2016 compared to $9.2 million in the prior-year period.
