LogMeIn to be acquired by affiliates of Francisco Partners and Evergreen Coast Capital for $86.05 per share in cash

  • Under the terms of the Agreement, LogMeIn shareholders will receive $86.05 in cash for each share of LogMeIn's common stock they hold. This consideration represents a premium of approximately 25% to LogMeIn's unaffected closing stock price on September 18, 2019, the last trading day before a media report was published speculating about a potential sale process. The all-cash transaction values LogMeIn at an aggregate equity valuation of approximately $4.3 billion. The Board of Directors of LogMeIn approved the Agreement and recommended that shareholders vote in favor of the transaction. The transaction is expected to close in mid-2020, subject to customary closing conditions, including the receipt of stockholder and regulatory approvals.
  • The definitive agreement for the transaction includes a customary 45-day "go-shop" period which permits LogMeIn and its advisors to actively solicit alternative acquisition proposals, and potentially enter negotiations with other parties that make alternative acquisition proposals. LogMeIn will have the right to terminate the definitive agreement to accept a superior proposal subject to the terms and conditions of the definitive agreement. There can be no assurance that this process will result in a superior proposal, and LogMeIn does not intend to disclose developments with respect to the solicitation process unless and until its Board of Directors makes a determination requiring further disclosure.

    LogMeIn beats by $0.06, beats on revs; guides Q1 revs in-line; guides FY19 revs in-line 
    • Reports Q4 (Dec) earnings of $1.47 per share, excluding non-recurring items, $0.06 better than the S&P Capital IQ Consensus of $1.41; Non-GAAP revenues rose 12.6% year/year to $310.7 mln vs the $306.57 mln S&P Capital IQ Consensus.
    • Co issues in-line guidance for Q1, sees Q1 Non-GAAP revs of $304-306 mln vs. $305.23 mln S&P Capital IQ Consensus. Adjusted EBITDA is expected to be in the range of $94 million to $96 million, or approximately 31% of non-GAAP revenue.
    • Co issues in-line guidance for FY19, sees FY19 Non-GAAP revs of $1.25-1.26 bln vs. $1.26 bln S&P Capital IQ Consensus.  Adjusted EBITDA is expected to be in the range of $407 million to $412 million, or approximately 33% of non-GAAP revenue.
    • The Company is announcing a board succession plan whereby the Company's co-founder and Chairman, Michael K. Simon, will resign from the board, effective upon the conclusion of the Company's Annual Meeting of Stockholders on May 30, 2019 and his position as Chairman effective March 1, 2019. The Board has named Robert Calderoni, who is currently serving as a member of the Board, to succeed Mr. Simon as the Company's Chairman.
    • In order to help fund these growth initiatives, the Company will undertake a global restructuring plan designed to streamline our organization and reallocate resources to better align with our growth acceleration goals. The Company expects to substantially complete this restructuring by the end of fiscal year 2019.

    LogMeIn (LOGM) to merge with Citrix’s (CTXS) GoToMeeting unit

    • February 2017: LogMeIn completed a merger with GetGo, the corporate spin-off of the GoTo product line from Citrix Systems.
     

    LogMeIn stock, after having been halted late in the regular session on rumors of a deal, surged by $13.32, or almost 19%, to $83.03, in late trading.

     
    The following day

    The deal, as described separately by LogMeIn and Citrix, is what’s known as a “Reverse Morris Trust” transaction, which is designed to avoid taxes for Citrix holders.

    LogMeIn listed several benefits of the transaction, including combined revenue of $1 billion, and first-year “synergies” on costs of $65 million. LogMeIn chief Bill Wagner will maintain his current role for the combined entities.

    LogMeIn said it would issue a special 50-cent-per-share dividend to its holders on August 26th, to holders of record as of August 8th.
