=JA Solar (JASO) becomes private, stock to be delisted from Nasdaq

JA Solar Holdings, Co., Ltd. JASO has completed its pending merger agreement with JASO Holdings Limited (Holdco), JASO Parent Limited (Parent) - a wholly owned subsidiary of Holdco - and JASO Acquisition Limited (Merger Sub), a wholly owned subsidiary of Parent. The company, now a wholly-owned subsidiary of Parent, will operate as a private corporation.
Subsequent to the merger, the company requested trade suspension of its American Depository Shares (ADS) on Nasdaq, as of Jul 17, 2018.
About the Deal
In November 2017, JA Solar announced that an investor consortium, as mentioned above, will purchase the company in an all-cash transaction, thereby translating into an equity value of approximately $362.1 million. The investor group stated that it will pay $1.51 per share in cash without interest to ordinary shareholders of JA Solar.
Holders of the ADS, which are equivalent to five ordinary shares, will be paid $7.55 in cash without interest.
In March 2018, JA Solar's shareholders gave their approval for the agreement. Notably, the closure of the deal was a bit delayed compared with the company's expectation for the same by first-quarter 2018.

=JA Solar (JASO) reported earnings on Thur 11/17/16 (b/o)





JA Solar beats by $0.07, beats on revs  :
  • Reports Q3 (Sep) earnings of $0.13 per share, excluding non-recurring items, $0.07 better than the two analyst estimate of $0.06; revenues rose 4.0% year/year to $624.3 mln vs the $591.02 mln two analyst estimate.
  • Total shipments were 1,240.9 megawatts, nearly all of which were modules and cells shipped to external customers.External shipments were up +10.1% y/y and up +0.9% sequentially (Guidance: 1400-155 MW). Gross margin was 13.8%, a decrease of 390 basis points y/y and 150 basis points sequentially.
  • Outlook: For the fourth quarter of 2016, the Company expects total cell and module shipments to be in the range of 1,200 to 1,300 MW, with essentially all being external shipments. Accordingly, full year 2016 shipments are expected to range from 4.9 GW to 5.0 GW, below the Company's previous guidance of 5.2 GW to 5.5 GW.

JA Solar misses by $0.10, beats on revs  :
  • Reports Q3 (Sep) earnings of $0.14 per share, $0.10 worse than the Capital IQ Consensus of $0.24; revenues rose 22.1% year/year to $600.96 mln vs the $512.37 mln Capital IQ Consensus. 
  • Total shipments were 1,126.8 megawatts, an increase of 43.5% y/y and 42.5% sequentially;
  • Shipments of modules and module tolling were 1,073.8 MW, an increase of 54.8% y/y and 49.7% sequentially;
  • Shipments of cells and cell tolling were 53.0 MW, a decrease of 42.3% y/y and 27.8% sequentially.
  • Gross margin was 17.7%, an increase of 270 basis points y/y and 130 basis points sequentially.
  • "Strong demand in China continued to drive shipment growth, as China represented 53% of our total shipments during the quarter".
