=Keurig Green Mountain (GMCR) acquired by Germany's JAB Holding Co (JAB) for $13.9 billion

  
Dec 7 (Reuters) - Keurig Green Mountain Inc, the maker of K-Cup single-serve coffee pods, said on Monday it would be bought by an investor group led by Germany's JAB Holding Co (JAB) for about $13.9 billion, creating a global coffee giant.
This is the latest in a string of coffee deals by JAB as it seeks to become a formidable competitor to Nestle SA, which operates the world's biggest coffee business.
JAB formed a joint venture in July called Jacobs Douwe Egberts - now the largest pure-play coffee company - by combining its D.E. Master Blenders 1753 business with the coffee business of Mondelez International Inc.
JAB, the investment vehicle of the billionaire Reimann family of Germany, bought coffee companies Caribou Coffee Co and Peet's Coffee & Tea in 2012.
JAB's $92.00 per share cash offer represents a 78 percent premium to Keurig's Friday close. Keurig's shares were trading at $90.56 before the opening bell on Monday.
Coca-Cola Co, Keurig's biggest single shareholder, said it was supportive of the deal. As of Dec. 6, Coke had a 17.4 percent stake in the Vermont-based company, valuing its holding at about $2.4 billion at the offer price.
JAB is acquiring Keurig in partnership with investors who are already shareholders in Jacobs Douwe Egberts, including Mondelez and entities affiliated with BDT Capital Partners.
JAB's other holdings include controlling stakes in cosmetics company Coty Inc and luxury goods makers Jimmy Choo .
The deal is expected to close in the first quarter of 2016.
BofA Merrill Lynch and Credit Suisse provided fairness opinions to Keurig Green Mountain.
Up to Friday's close, Keurig's shares had fallen more than 60 percent this year.

JAB, backed by German billionaire Reimann family, also has invested in a variety of consumer-goods companies, such as cosmetics giant Coty Inc. and Durex condom maker Reckitt Benckiser Group Plc. Four of the Reimanns each have a net worth of about $2.9 billion, according to the Bloomberg Billionaires Index.

Keurig Green Mtn beats by $0.15, reports revs in-line; guides FY16 EPS towards low end of expectations with sales below; raises dividend 13% :
  • Reports Q4 (Sep) earnings of $0.85 per share, excluding non-recurring items,$0.15 better than the Capital IQ Consensus of $0.70; revenues fell 13.3% year/year to $1.04 bln vs the $1.03 bln Capital IQ Consensus.
  • Co issues in-line guidance for FY16, sees EPS of $3.25-3.45, excluding non-recurring items, vs. $3.44 Capital IQ Consensus; FCF $420-500 mln.
    • Currency neutral net sales growth of flat to low single digits compared to fiscal year 2015. At current exchange rates, foreign currency is expected to negatively impact net sales growth by ~1%. Consensus calls for rev +1.7%.
  • While we expect marketplace conditions will remain challenging in the near term, we have a stronger product line-up and price positioning as we enter the new holiday season." Mr. Kelley continued, "Our priorities for 2016 are to reinvigorate our hot system and continue the disciplined rollout of our Kold system."
  • Co announced a 13% increase in its indicated annualized dividend to $1.30 per share from $1.15. The increase will take effect with the February 16, 2016 quarterly dividend payment of $0.325 declared by the Board payable to shareholders of record as of the close of business on January 15, 2016.

Green Mountain Coffee Roasters (GMCR) reports earnings on Wed 2/6/13 after close

Green Mountain’s fiscal first-quarter earnings easily topped Street consensus, but the stock is down in late trading on a weak second-quarter outlook.

The coffee company, famous for its single-serve coffee packets and a blistering attack from David Einhorn, reported earnings of $107.6 million, or 70 cents a share, up from $104.4 million, or 66 cents, a year ago. On a non-GAAP basis, earnings were 76 cents a share, well ahead of the 65 cents analysts expected.

With revenue growth of 16%, to $1.34 billion from $1.16 billion a year ago, Green Mountain also showed it’s withstanding intensified competition from Starbucks' SBUX -0.27% single-serve coffee brewer, which came out last fall, and the expiration of patents on its coffee pod technology for Keurig.

But the stock is taking heat after the company admitted that growth is moderating in the overall coffee and espresso industry, limiting its potential.

Green Mountain projected 14-18% revenue growth for the current quarter, falling short of analysts’ 20% estimate. Street consensus for non-GAAP EPS is 72 cents a share.

Shares were down as much as 10%, but more recently are down 7% at $45.67.

OMG! NFLX and GMCR fall sharply

Last week I wrote about NFLX and GMCR (Green Mountain Coffee Roasters Inc. (GMCR) vs Netflix (NFLX)) that theey were not quite ready to be bought. NFLX has earnings announcement last night, and it sounds like customers are leaving much more than anyone had anticipated! GMCR also dropped another 5% so far this week.

Green Mountain Coffee Roasters Inc. (GMCR) vs Netflix (NFLX)

Both Green Mountain Coffee Roasters Inc. (GMCR) and Netflix (NFLX) have been superstar stocks in the past 5years, gaining 3,000% and 1,000% respectively.


The past few months have not been kind to GMCR and NFLX... Here are 15-month (weekly) charts of both. Neither of them look ready to be bought yet, with GMCR likely to endure more losses. I'll be looking to getting into NFLX before GMCR.

Green Mountain Coffee Roasters, Inc. is engaged in the specialty coffee and coffee maker businesses. The Company operates in two business segments: the Specialty Coffee business unit (SCBU) and the Keurig business unit (Keurig).
