-=Dunkin' Brands (DNKN) in talks to be acquired by Inspire Brands

  • Dunkin' Brands is in talks to be acquired by Inspire Brands, a private equity-based restaurant company, Dunkin' said in a statement on Sunday. According to the New York Times, which first reported the talks, the deal could take Dunkin' Brands private at $106.50 a share.


Dunkin’ (ticker: DNKN) said late Sunday that it was in preliminary negotiations with Inspire Brands, and would provide no further comment unless the parties reached a deal or called off talks. Although the company didn’t discuss financial details, reports have put an potential per-share price for the Dunkin' Donuts and Baskin-Robbins owner at $106.50, about a 20% premium to Friday’s closing price.

Dunkin’ hasn’t been talked about as a takeover candidate much lately, but it is no stranger to rumors. There was speculation three years ago that it could be bought by JAB Holdings—to the point that the stock fell after the firm purchased Panera Bread instead. Dunkin’ has since grown, and with a market value of $7 billion, the field of potential buyers has narrowed.

Inspire Brands is a familiar name to restaurant investors. The consortium, owned by the private-equity firm Roark Capital, includes Arby’s, Buffalo Wild Wings, and Sonic, among other brands. Its most recent big purchase was Jimmy John’s. Dunkin’ itself was privately owned before its 2011 initial public offering.

Dunkin beats by $0.03, reports revs in-line; guides FY20 EPS below consensus
  • Reports Q4 (Dec) earnings of $0.73 per share, excluding non-recurring items, $0.03 better than the S&P Capital IQ Consensus of $0.70; revenues rose 5.1% year/year to $335.92 mln vs the $335.95 mln S&P Capital IQ Consensus.
    • Dunkin' U.S. comparable store sales grew 2.8% in the fourth quarter as an increase in average ticket was partially offset by a decrease in traffic. The increase in average ticket was driven by favorable mix shift to premium priced espresso and cold brew beverages, as well as the successful launch of the Beyond Sausage Sandwich, an addition to the high end of our breakfast sandwich barbell strategy, coupled with strategic pricing increases which were partially offset by discounting driven by national value platforms.
    • Baskin-Robbins U.S.comparable store sales grew 4.1% in the fourth quarter driven by an increase in average ticket and an increase in traffic. Comparable store sales growth was led by the strong performance of cups and cones, beverages, take home, and sundaes.
  • Co issues downside guidance for FY20, sees EPS of $3.16-3.21, excluding non-recurring items, vs. $3.29 S&P Capital IQ Consensus.
    • The company expects low-single digit comparable store sales growth for Dunkin' U.S. and low-single digit comparable store sales growth for Baskin-Robbins U.S.
    • The company expects to open between 200 to 250 net new Dunkin' U.S. units, excluding approximately 450 limited menu Dunkin' Speedway locations which are closing under a termination agreement entered into with Speedway and are expected to close by fiscal year end 2020.
    • The Company expects mid-single digit percent operating and adjusted operating income growth, reflecting an approximately $60 million strategic investment for continued beverage leadership.
  • The Company reiterates its previously announced long-term targets through fiscal year 2021.
    • The company expects low-single digit percent comparable store sales growth for Dunkin' U.S.

    -=Dunkin' (DNKN) drops "Donuts" from name in shift to coffee



    Sept 25 (Reuters) - Dunkin' Donuts said on Tuesday it plans to rebrand itself as "Dunkin'" as part of new CEO Dave Hoffman's plans to bring beverages and breakfast meals to the forefront of the restaurant chain's menu.
    "The new branding conveys the company's focus on serving great coffee fast, while ... retaining its familiar pink and orange colors and iconic font," the company said. (https://bit.ly/2xRoGBG)
    The company, whose sales in the recent quarters have been powered by breakfast and beverage items, said the new branding would be effective January.
    However, the shift to drive more customers to buy its coffee comes at a time companies such as Starbucks continue to deal with stagnating demand for coffee in the United States.

    From Open Kettle to Dunkin’
    The story of Dunkin’ began in 1948 with a donut and coffee restaurant in Quincy, Massachusetts called “Open Kettle.” Founder William Rosenberg served donuts for five cents and premium cups of coffee for ten cents. After a brainstorming session with his executives, Rosenberg renamed his restaurant “Dunkin’ Donuts” in 1950. His goal was to “make and serve the freshest, most delicious coffee and donuts quickly and courteously in modern, well-merchandised stores,” a philosophy which still holds true today. In 1955, the first Dunkin’ Donuts franchise opened, and, in just 10 years, the number of restaurants had grown to over 100 shops. Since 1950, the number of Dunkin’ restaurants has increased to more than 12,600 restaurants worldwide in 46 countries.

    • Reports Q4 (Dec) earnings of $0.64 per share, excluding non-recurring items, $0.03 better than the Capital IQ Consensus of $0.61; revenues rose 5.8% year/year to $215.7 mln vs the $215.76 mln Capital IQ Consensus.
    • Dunkin' Donuts U.S. comparable store sales growth of 1.9% Baskin-Robbins U.S. comparable store sales decline of 0.9%
    • Co issues downside guidance for FY17, sees EPS of $2.34-2.37 vs. $2.42 Capital IQ Consensus Estimate. 
    • The Company expects low single digit comparable store sales growth for Dunkin' Donuts U.S. and Baskin-Robbins U.S. The Company expects Dunkin' Donuts U.S. franchisees to add ~385 net new restaurants. It expects Baskin-Robbins U.S. franchisees to add ~10 net new restaurants. Internationally, the Company expects franchisees and licensees to add ~200 net new restaurants across the two brands. The Company expects low-to-mid single digit revenue growth on both a 52- and 53-week basis (fiscal year 2016 was a 53-week year).
    • Board of Directors has declared a quarterly cash dividend to shareholders. The dividend of $0.3225 per share of common stock is payable on March 22, 2017 to shareholders of record as of the close of business on March 13, 2017. This represents a 7.5 percent increase over the prior quarter's dividend.
