Tableau Software (DATA) to be acquired by Salesforce (CRM) for $15.7 bln in stock

Salesforce will acquire Tableau in an all-stock transaction, pursuant to which each share of Tableau Class A and Class B common stock will be exchanged for 1.103 shares of Salesforce common stock, representing an enterprise value of $15.7 billion (net of cash), based on the trailing 3-day volume weighted average price of Salesforce's shares as of June 7, 2019.
  • Financial Impact to Salesforce of the Proposed Tableau Acquisition:
    • The transaction is expected to increase Salesforce's FY20 total revenue by approximately $350 million to $400 million. This estimate reflects a fair value adjustment to reduce unearned revenue and unbilled unearned revenue by approximately 30%, adjustments related to the combined customer base, and inter-company revenue elimination, as required by U.S. GAAP. FY20 Revenue is now expected to be $16.45 billion to $16.65 billion, an increase of 24% to 25% year-over-year.
    • The transaction is expected to decrease Salesforce's FY20 non-GAAP operating margin by approximately (75) basis points year-over-year.
    • Guidance updates for GAAP EPS for all periods discussed are not currently available and Salesforce expects to provide the applicable updates when the transaction has closed and the purchase accounting has been completed. The acquisition is expected to decrease FY20 non-GAAP diluted EPS by approximately ($0.37) to ($0.39). FY20 Non-GAAP EPS is now expected to be $2.51 to $2.53. This estimate assumes fully diluted share count of approximately 900 million, and a non-GAAP tax rate of 22.5%.
  • The acquisition of Tableau is expected to be completed during Salesforce's fiscal third quarter ending October 31, 2019

Tableau Software beats by $0.09, beats on revs, announces CFO transition
  • Reports Q4 (Dec) earnings of $0.12 per share, $0.09 better than the Capital IQ Consensus of $0.03; revenues fell 0.5% year/year to $249.4 mln vs the $240.63 mln Capital IQ Consensus.
  • Total annual recurring revenue was $596.2 million, up 45% year over year.
  • Ratable license bookings were 41% of total license bookings, compared to 17% in 2016.
  • During Q4, DATA repurchased 284,851 shares of the company's outstanding Class A common stock for a total of $20.0 million. As of December 31, 2017, the  company was authorized to repurchase a remaining $100.0 mln of common stock under the previously authorized repurchase program.
  • CFO Transition: Tom Walker, CFO, has decided to step down permanently from the CFO positio to take a six-month sabbatical beginning in April. The Board has appointed Damon Fletcher, Senior Vice President of Finance, as Interim CFO, effective today. Mr. Walker will assist with transition responsibilities between now and the start of his sabbatical.   • Reports Q3 (Sep) earnings of $0.08 per share, excluding non-recurring items, $0.01 worse than the Capital IQ Consensus of $0.09; revenues rose 4.3% year/year to $214.9 mln vs the $219.43 mln Capital IQ Consensus. Total annual recurring revenue increased 46% to $526.2 million, up from $361.4 million at the end of the third quarter of 2016. Subscription annual recurring revenue increased 204% to $139.2 million, up from $45.7 million at the end of the third quarter of 2016.

SEATTLE (AP) _ Tableau Software Inc. (DATA) on Wednesday reported a loss of $54.6 million in its first quarter.
On a per-share basis, the Seattle-based company said it had a loss of 71 cents. Losses, adjusted for stock option expense and pretax expenses, came to 3 cents per share.
The results surpassed Wall Street expectations. The average estimate of 18 analysts surveyed by Zacks Investment Research was for a loss of 10 cents per share.
The provider of analytics and data-visualization software posted revenue of $199.9 million in the period, also exceeding Street forecasts. Ten analysts surveyed by Zacks expected $199.8 million.
Tableau shares have increased 30 percent since the beginning of the year. In the final minutes of trading on Wednesday, shares hit $54.70, a climb of almost 8 percent in the last 12 months.

SEATTLE (AP) _ Tableau Software Inc. (DATA) on Tuesday reported a loss of $30.3 million in its third quarter.

On a per-share basis, the Seattle-based company said it had a loss of 40 cents. Earnings, adjusted for one-time gains and costs, came to 16 cents per share.

The results exceeded Wall Street expectations. The average estimate of 19 analysts surveyed by Zacks Investment Research was for earnings of 7 cents per share.

The provider of analytics and data-visualization software posted revenue of $206.1 million in the period, missing Street forecasts. Eleven analysts surveyed by Zacks expected $213.4 million.

Tableau shares have decreased 47 percent since the beginning of the year. In the final minutes of trading on Tuesday, shares hit $49.51, a decline of 43 percent in the last 12 months.

Data visualization and analysis software maker Tableau Software (DATA) this afternoon reported Q2 revenue that topped analysts’ expecations, and but missed on the bottom line, sending its shares sharply lower in late trading.

Revenue in the three months ended in June rose to $198.5 million, yielding break-even on the profit line.

Analysts had been modeling $193.7 million and a 5-cent profit per share.

CEO Christian Chabot said the company was “pleased” with the results “overall,” as “they demonstrate that the move to visual analytics continues to thrive.”

He noted that “more than 3,900 new customer accounts chose Tableau, the highest quarterly addition in our history, bringing the total to more than 46,000 worldwide.”
