AK Steel (AKS) to be acquired by Cleveland Cliffs (CLF) for $3.36/share

Cleveland Cliffs (CLF) to acquire AKS: fixed exchange ratio implies a consideration of $3.36/share of AK Steel
  • Under the terms of the merger agreement, AK Steel shareholders will receive 0.40 shares of Cliffs common stock for each outstanding share of AK Steel common stock they own. Upon completion of the transaction, Cliffs shareholders will own approximately 68% and AK Steel shareholders will own approximately 32% of the combined company, respectively, on a fully diluted basis.
  • The fixed exchange ratio implies a consideration of $3.36 per share of AK Steel common stock and represents a premium of 16% based on the closing share prices of Cliffs and AK Steel common shares, respectively, as of December 2, 2019, and a premium of 27% based on the 30-day volume weighted average price of AK Steel common shares. The transaction implies an aggregate consideration to AK Steel shareholders of approximately $1.1 billion on a fully diluted basis, a total enterprise value of approximately $3.0 billion for AK Steel and an acquisition multiple of 5.6x LTM Adjusted EBITDA.
  • The transaction offers significant potential for operational synergies, which will contribute to long-term value creation for investors. The combination is expected to generate approximately $120 million of annual cost synergies to be fully realized within the first 12 months after closing, primarily from consolidating corporate functions, reducing duplicative overhead costs, and procurement and energy cost savings, as well as operational and supply chain efficiencies.

    • Reports Q1 (Mar) earnings of $0.09 per share, $0.06 better thanthe Capital IQ Consensus of $0.03; revenues rose 8.2% year/year to $1.66 bln vs the $1.58 bln Capital IQ Consensus.
    • Outlook: Co expects market conditions will strengthen in Q2 vs Q1. Shipments of carbon and stainless steels, as well as tubular and stamping products, are expected to benefit from continued strength in the automotive market. In addition, the company anticipates increased shipments into both the distributor and converter, and the infrastructure and manufacturing markets.

    • Reports Q3 (Sep) earnings of $0.21 per share, $0.08 better than the Capital IQ Consensus of $0.13; revenues fell 15.0% year/year to $1.45 bln vs the $1.48 bln Capital IQ Consensus.
    • The decrease in net sales was primarily a result of the co's decision to reduce sales of commodity products.
    • Shipments of 1,425,900 tons for the third quarter of 2016 were 24% less than the 1,871,200 tons from the third quarter a year ago. As a result of a better product mix and a more favorable selling environment, selling price per ton increased 11% to $1,016 from $912 for the same quarter a year ago.
    • The co ended the third quarter of 2016 with total liquidity of $1,079 mln, consisting of cash and cash equivalents and $1,034 mln of availability under the company's revolving credit facility.
    • "We continue to see benefits from our decision to focus on higher-value products, optimize our footprint and reduce our exposure to commodity products," said Roger K. Newport, Chief Executive Officer of AK Steel. "De-emphasizing commodity products and introducing new products, such as our recently announced NEXMET line of next-generation advanced high strength steels, are examples of our ongoing work to differentiate ourselves in the market today and for the future, and to drive long-term shareholder value."

    AK Steel beats by $0.24, beats on revs; co reduced its exposure to the spot markets :
    • Reports Q4 (Dec) earnings of $0.30 per share, excluding non-recurring items, $0.24 better than the Capital IQ Consensus of $0.06; revenues fell 22.8% year/year to $1.54 bln vs the $1.50 bln Capital IQ Consensus.
    • "We achieved solid operational improvements during [Q4] as a direct result of focusing on the things that we can control...We intentionally reduced our exposure to the spot markets as part of our margin enhancement initiatives. These initiatives include investing resources where value is realized, reflecting our margin enhancement focus."
    • Shipments were 1.656 mln tons, down from 2.01 mln tons last year. The decline was primarily a result of the co's decision to focus on sales of higher margin, value-added products and reduce sales to the carbon steel spot market.
    • Average selling price for Q4 was $929 per ton, or 2% higher than Q3, primarily attributable to a greater proportion of higher value steels sold to the automotive market and improved selling prices for electrical steels.
