Proofpoint to acquire FireLayers for about $55 mln in cash & stock  : FireLayers is in the biz of cloud security. The purchase price for the transaction is approximately $55 million, with approximately $46 million in cash and the remaining approximately $9 million in Proofpoint stock subject to continued vesting. The closing is subject to customary closing conditions and is expected to occur this quarter.
